In consideration of the mutual promises, covenants, warranties and other good and valuable consideration set forth in this Agreement, the parties hereby agree as follows:

1 x 60 minute Coaching Session, and 1 x 30 minute Coaching Session

Client will also have access to the Coach via email. Coach will respond to messages within 48 hours during regular business hours Tuesday-Thursday.
Coach will utilize a private Google Drive folder for the Client’s session notes.

The scope of the coaching sessions includes, but is not limited to:

Offer networking recommendations
Questions and outreach recommendations
Reflection and next steps recommendations

Terms and Conditions

Retainer and Payment. The Client shall make a non-refundable retainer in the amount of $750 if paying in full, or $325 if paying in two parts for the Coach to perform the services specified herein. Upon payment, the Coach will reserve the time and date agreed upon by both parties. The Client agrees that this retainer is earned by the Coach when paid, and is remitted in consideration of the experience, reputation, skill of the Coach, and in consideration of the inability of the Coach to schedule other clients during this time.

Any payment plan Contract agreed to by the Coach and the Client shall be included as an addendum to this Contract. A late payment fee of $250 shall be applied to the late payment amount in accordance with the payment plan Contract.

Payment Plan: Client will receive one (1) subsequent autobill from Thrivecart each in the amount of $325 at monthly intervals for the remainder of the Contract. There is no penalty for prepayment.

Scheduling/Rescheduling. Client will receive a link to book the coaching sessions. In the event that the Client requests to reschedule a coaching session, the retainer shall be applied to a rescheduled session if notice is given at least 2 days prior to the scheduled session. Reschedule must be within 14 days from originally scheduled date.

Late Arrival. The Coaching sessions shall begin promptly at the agreed upon start time. The Coach shall wait for a grace period up to 5 minutes past the start time. Should the Client arrive within grace period of 5 minutes the session shall occur but shall receive only the remaining time left in the session No proration of monies shall occur.
Relationship. The Coach agrees to deliver the Client services as a work-for-hire independent contractor providing Coaching services. Nothing herein shall be deemed to constitute a partnership or joint venture between Coach and Client. Further, this Coaching services does not create a relationship beyond the confines of the Coaching services.

ICF Log. The Client understands that the Coach maintains a log for the ICF regarding sessions with the Client. The Client understands that in the future they may be contacted by the ICF to confirm their work with the Coach.

Confidentiality and Non-Disclosure. The Client understands that all materials, including but not limited to, price lists, contracts, financial documents, agreements, and other information or documents that are given to them in the course of the Coaching services are the exclusive property of the Coach and are privileged and confidential information. The Client shall not disclose, whether or not, the confidential information obtained from the Coach to anyone unless required to do so by law.

Transfers/Refunds. The Coaching services fee is non-refundable. The Coaching services fee may not be transferred to another Client.

Schedule. The Coaching services schedule is subject to change and no adjustment/proration of fees shall be applied if the schedule changes due to extenuating circumstances.

Client Preparation. The Client is required to have basic knowledge of Zoom, Google Drive, and Acuity and submit completed assigned pre-work to the Coach at least 24 hours prior to the Coaching session(s). Failure to adequately complete and/or submit assigned pre-work will result in rescheduling/forfeiture of the Coaching session and all monies paid.

Recordings. The Client shall capture the Coaching session through screen recording if the client wishes to. The Coach shall provide a cloud recording to the Client within 2 days from the close of the coaching session for the Client to download, if the client wishes sessions to be recorded.

Cooperative Attitude. The Client shall retain a cooperative attitude throughout the course of the Coaching services. At any time the Client acts uncooperative the Coach shall terminate the Coaching services and retain all Coaching services fees. All unpaid Coaching services fees shall be remitted to the Coach within 30 days of contract termination or be subject to legal action. Cooperation includes, but is not limited to, online and in-person decorum whether directed at Coach or a third party in reference to the Coaching services.
Intellectual Property. All information provided in the course of the Coaching services are copyright of the Coach.

Waivers. A waiver by either party of any provision of this Agreement in any instance shall not be deemed a continuing waiver for the future.

Indemnification. The Coach shall be held harmless for any and all injury to Client and Client’s business and equipment during the course of the Coaching services and the immediately surrounding events.

Governing Law and Choice of Venue.
This Agreement shall be governed by the laws of the State of New Jersey without regard to its conflicts of law provisions. The parties may bring an action concerning this Agreement only in the state and federal courts for the State of New Jersey and United States of America.

Attorney Fees. If either party to this Contract brings a legal action against the other party to this Contract to secure the specific performance of this Contract, collect damages for breach of this Contract, or otherwise enforce or interpret this Contract, the prevailing party shall recover reasonable attorney’s fees and all costs, premiums for bonds, fees, and other expenses expended or incurred in the action in addition to any other relief that may be awarded.

Resolution.
Client shall first approach Coach as to any issues related to the Coaching services.
Failure to do so will result in termination of the Coaching services and forfeiture of all Coaching services fees.

All unpaid Coaching services fees shall be remitted to the Coach within 30 days of contract termination or be subject to legal action.

Entire Agreement.
This Agreement contains the entire agreement between the parties on its subject matter and supersedes any prior understanding or representation of any kind preceding the date of this Agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.
